1. Who we are

BaleScan Pro ("the Service") is provided by S. King ("we", "us", "our"). By accessing or using the Service, you agree to these Terms & Conditions. If you do not agree, do not use the Service.

2. Eligibility & accounts

You must be of legal age in your jurisdiction and, if signing up on behalf of an organization, have authority to bind it. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and keep it up to date.

3. Acceptable use

You must not misuse the Service. In particular, you must not:

• use the Service for unlawful, fraudulent, or deceptive purposes;
• send spam or infringe intellectual-property rights of others;
• interfere with the security or integrity of the Service, including by uploading malware, probing, scanning, or scraping; or
• resell, sublicense, or redistribute the Service without our written consent.

4. Intellectual property

We retain all right, title, and interest in and to the Service, including all software, documentation, branding, and content we provide. You receive a limited, non-exclusive, non-transferable right to use the Service in accordance with your plan. You retain ownership of content you submit, and grant us a limited license to host and process it solely to operate the Service for you.

5. Service availability

We strive to keep the Service available, but we do not guarantee uninterrupted or error-free operation. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

6. Payments and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by the Paddle Buyer Terms.

7. Suspension & termination

We may suspend or terminate your access for material breach of these Terms, non-payment, suspected security or fraud risk, or repeated or serious policy violations. On termination, your right to use the Service ends; we may delete your account data after a reasonable export window.

8. Liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service will not exceed the fees you paid in the 12 months preceding the claim. We will not be liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded by law (e.g., fraud, death, or personal injury).

9. Indemnity

You agree to indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

10. Changes to the Service or Terms

We may update the Service and these Terms from time to time. Material changes will be communicated through the Service or by email.

11. Governing law

These Terms are governed by the laws of the jurisdiction in which S. King resides, without regard to its conflict-of-law principles. Disputes will be resolved by the competent courts of that jurisdiction.
